Cawthon Design –Terms and Conditions

Cawthon Design –Terms and Conditions

Last updated: Oct 28, 2026

These Terms and Conditions ("Terms") govern all design services provided by Cawthon

Design ("Cawthon Design," "we," "us," or "our") to any client ("Client," "you," or "your"). By

submitting a request, approving a quote, making a payment, or accepting any deliverable,

you agree to these Terms.

1. Scope of Services

Cawthon Design provides computer-aided design (CAD) modeling and technical drawing

services. Our services consist solely of converting information, dimensions, sketches,

specifications, samples, or descriptions supplied by the Client into digital CAD models

and/or drawings ("Deliverables"). Unless expressly agreed in writing, our services do not

include engineering analysis, stress or load calculations, material selection, tolerance

analysis, design validation, testing, manufacturing, or certification of any kind.

2. Client-Supplied Information

The Client is solely responsible for the accuracy, completeness, and suitability of all

dimensions, specifications, requirements, and other information provided to Cawthon

Design. Deliverables are created based on that information as provided. Cawthon Design

has no obligation to verify, check, or correct Client-supplied information and is not

responsible for errors, omissions, or defects resulting from it.

3. No Engineering Responsibility; Fitness for Purpose

Cawthon Design is not acting as a licensed professional engineer and does not provide

engineering services. Cawthon Design makes no representation or guarantee regarding

the strength, durability, load capacity, safety, performance, manufacturability, regulatory

compliance, or suitability of any part, product, or design for any particular purpose or

application.

The Client is solely responsible for determining whether any Deliverable, and any part or

product made from it, is suitable for the Client's intended use, including obtaining

independent engineering review, testing, and any required approvals or certifications

before manufacture or use.

4. Review and Acceptance

The Client is responsible for reviewing all Deliverables upon receipt. Any errors in our conversion of Client-supplied information must be reported in writing within seven (7)

days of delivery. Deliverables not disputed within that period are deemed accepted. Our sole obligation for a timely reported conversion error is to correct the Deliverable.

5. Disclaimer of Warranties

ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST

EXTENT PERMITTED BY LAW, CAWTHON DESIGN DISCLAIMS ALLWARRANTIES,

EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY,

FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAWTHON DESIGN SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE

DAMAGES, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, PRODUCT FAILURE,

MANUFACTURING COSTS, LOST PROFITS, OR LOSS OF DATA, ARISING FROM OR

RELATED TO THE SERVICES OR DELIVERABLES OR ANY PART MADE FROM THEM.

IN NO EVENT SHALL CAWTHON DESIGN'S TOTAL LIABILITY FOR ANY CLAIM EXCEED

THE AMOUNTACTUALLY PAID BY THE CLIENT FOR THE SPECIFIC SERVICES GIVING

RISE TO THE CLAIM.

7. Indemnification

The Client agrees to defend, indemnify, and hold harmless Cawthon Design and its owner

from any claims, losses, damages, liabilities, costs, and expenses (including reasonable

attorneys' fees) arising from or related to: (a) information or materials supplied by the

Client; (b) the manufacture, sale, or use of any part or product based on the Deliverables;

(c) the Client's breach of these Terms; or (d) any claim that Client-supplied materials

infringe the rights of a third party.

8. Intellectual Property

The Client represents that it owns or has the right to use all information, designs, and

materials it provides. Upon full payment, the Client receives ownership of the final

Deliverables created specifically for the Client. Until full payment is received, all rights

remain with Cawthon Design. Cawthon Design retains ownership of its pre-existing tools,

templates, methods, and know-how, and may display non-confidential work in its portfolio

unless the Client requests otherwise in writing.

9. Prohibited Uses

Cawthon Design may decline any project at its discretion. The Client agrees not to use

Deliverables for any unlawful purpose. Cawthon Design accepts no responsibility for

Deliverables used in safety-critical, medical, aerospace, automotive, life-support, or

weapons applications.

10. Quotes, Payment, and Revisions

Quotes are valid for thirty (30) days. Payment terms will be stated in the quote or invoice;

Cawthon Design may require a deposit before work begins. Final files may be withheld

until payment is received in full. The quote includes the number of revisions stated in it;

additional revisions or changes to the original scope or Client-supplied information will be

billed at our then-current rate. Deposits are non-refundable once work has begun.

11. Confidentiality

Cawthon Design will make reasonable efforts to keep Client-supplied information

confidential and will not disclose it to third parties except as required by law. A separate

non-disclosure agreement may be signed upon request.

12. Timelines

Any delivery dates are estimates only. Cawthon Design is not liable for delays, including

those caused by incomplete or late Client information or circumstances beyond our

reasonable control.

13. Cancellation and Termination

The Client may cancel a project at any time by written notice. The Client will pay for all

work completed up to the date of cancellation, billed at our then-current rate, and any

deposit already paid will be applied to that amount and is not refundable. Cawthon Design

may stop work or terminate a project at any time if the Client fails to pay, fails to provide

needed information, or breaches these Terms; in that case the Client remains responsible

for payment for work completed. Deliverables for a cancelled project are released only

after payment for completed work is received.

14. File Retention

Cawthon Design is not a file storage service. We may keep project files for up to ninety

(90) days after final delivery, after which they may be deleted without notice. The Client is

responsible for keeping its own copies of all Deliverables. Requests to recover or re-send

files after that period may be billed at our then-current rate, if the files still exist.

15. Independent Contractor

Cawthon Design is an independent contractor. Nothing in these Terms creates an

employment, partnership, joint venture, or agency relationship between Cawthon Design

and the Client. Cawthon Design controls the manner and means of performing the

services and is responsible for its own taxes, tools, and equipment.

17. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to

conflict-of-law principles. Any dispute shall be brought exclusively in the state or federal

courts located in Washington County, Minnesota.

18. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in

full effect. These Terms, together with any accepted quote, form the entire agreement

between the parties and supersede prior discussions. Cawthon Design may update these

Terms at any time; the version in effect when a quote is accepted applies to that project.
